Terms and Conditions

Version 1.1 · Effective 3 September 2026

FLIP is a decision-support tool, not a guarantee of value or profit.

Market estimates, sold evidence, asking prices, retail prices, scores, profit forecasts and maximum-buy calculations are information to help you make your own commercial decisions. You remain responsible for deciding what to buy, what to pay, how to sell it and whether a transaction is suitable for you.

1. About these terms

These Terms and Conditions govern your access to and use of FLIP, xflip.co.uk, the FLIP web application, physical access cards and related services (together, the “Service”). The Service is operated by FLIO (“FLIP”, “we”, “us” or “our”). Our contact address is 3, MK42 7QB. You can contact us at flip@xflip.co.uk.

By creating an account, activating an access card, purchasing a membership or using the Service, you agree to these terms. If you do not agree, do not use the Service.

2. What FLIP does

FLIP is software designed to assist resellers and other users with product identification, market research, valuation estimates, sourcing decisions, stock records, selling-cost calculations, sales records and business insights. FLIP may combine information supplied by you with information from marketplaces, retailers, third-party data providers, public web sources, artificial-intelligence services and FLIP’s own calculations.

FLIP does not buy or sell the items you research, does not act as your agent, broker, valuer, auctioneer, accountant or financial adviser, and does not enter into transactions on your behalf.

3. Market data and valuation estimates

Market information changes continuously. Listings may be added, removed, edited, sold, cancelled or incorrectly described. Third-party sources can be incomplete, delayed, inaccurate, duplicated or unavailable. A displayed price may not represent the amount ultimately paid by a buyer.

FLIP distinguishes evidence types where reasonably possible, including recent sold evidence, active marketplace asking prices and current retail prices. An asking price is not proof of a completed sale. A retail price is not proof that an item can be resold at that price.

A “FLIP Market Estimate”, expected resale value, value range, confidence level or similar output is an estimate derived from the information available to the Service at that time. It is not a professional valuation, certified appraisal, offer to purchase, guaranteed sale price or guarantee that a buyer exists at that price.

4. Product identification

Photo, barcode and text identification can be wrong. Similar products may differ materially by edition, model number, size, year, condition, completeness, authenticity, signature, grading, region or other characteristics. You must review and confirm the product identity and material details before relying on a result.

FLIP may use automated and artificial-intelligence systems to help identify and structure product information. Automated identification does not replace your inspection or judgement.

5. Your commercial decisions and risk

You are solely responsible for your purchasing, pricing, listing, selling, shipping, tax and other commercial decisions. Before buying an item, you should consider its actual condition, authenticity, provenance, demand, fees, taxes, postage, packaging, returns risk, storage, time-to-sell and any other costs or risks relevant to you.

Past sales do not guarantee future demand or future selling prices. A profitable-looking calculation can become unprofitable because of market movement, inaccurate inputs, unexpected fees or costs, returns, fraud, damage, changes in platform rules, inability to sell, or other circumstances.

You must not treat a FLIP result as an instruction to buy, sell or hold an item. The final decision is yours.

6. Profit, ROI, fees and maximum-buy calculations

Profit, return-on-investment, fee and maximum-buy calculations depend on the inputs and fee rules available to FLIP. Marketplace fees, payment charges, promotions, subscriptions, category rates, taxes and shipping costs may vary and may change without notice. You are responsible for checking the actual fees and costs that apply to your account and transaction.

Forecast profit and ROI are estimates. Actual profit and ROI can only be known after the transaction and all relevant costs are known.

7. No guarantee of availability or completeness

We aim to provide a useful and reliable Service, but we do not promise that every product will be identifiable, that every search will return sold data, that every relevant marketplace or retailer will be searched, or that third-party data will always be available. A result showing zero sold records may mean no relevant records were returned by the sources searched; it must not be interpreted as proof that the item has never sold.

We may change, add, remove or replace data sources, calculation methods, features and providers as the Service develops.

8. Memberships and monthly search allowances

Current membership allowances are displayed on the membership comparison page. Unless we state otherwise, FREE includes 10 searches per calendar month, FLIP PRO includes 500 searches per calendar month, and FOUNDER includes 2,500 searches per calendar month. A search is normally counted when a new photo, barcode or manual search session is created.

Unused searches do not roll over. Allowances reset automatically each month. We may apply reasonable technical limits to protect the Service from automated, abusive or excessive use.

FLIP PRO includes the features identified as Pro features in the Service. Founder access includes the full Pro feature set with the Founder allowance. Founder access described as lifetime access means access for the operational lifetime of the FLIP Service, not the lifetime of an individual person, company, device or third-party platform.

9. Physical access cards

An access card is a means of activating the membership encoded for that card. Activation codes must be kept secure. Unless we expressly permit a reset, a card may be activated once and linked to the account that activates it. A physical card is not cash, stored value or a guarantee that the Service will operate indefinitely.

10. Accounts and security

You must provide accurate account information, keep your sign-in details secure and notify us if you reasonably believe your account has been compromised. You are responsible for activity carried out through your account unless caused by our failure to use reasonable care and skill.

You must not attempt to bypass usage limits, scrape the Service, interfere with security, reverse engineer protected parts of the Service, use another person’s account without permission, introduce malicious code, or use FLIP for unlawful activity.

11. User content and uploaded images

You retain ownership of content you upload. You give us a limited permission to host, process, resize, analyse and transmit that content to relevant service providers where necessary to operate and improve the features you request. You must have the right to upload the content and must not upload unlawful material or material that infringes another person’s rights.

12. Third-party services and links

FLIP relies on and may link to third-party marketplaces, retailers, data providers, payment or email providers, artificial-intelligence services and other websites. Those services are independent from FLIP and may have their own terms, privacy notices, availability and data rules. We are not responsible for the content, conduct, availability or contractual performance of a third party.

13. Intellectual property

The FLIP name, branding, software, interface, original content, database structure and other materials created by us are owned by or licensed to us and are protected by applicable intellectual-property law. These terms give you a personal, limited, non-exclusive, non-transferable right to use the Service for its intended purpose. They do not transfer ownership of FLIP intellectual property to you.

14. Suspension and termination

We may suspend or restrict an account where reasonably necessary for security, suspected fraud, abuse, breach of these terms, non-payment, legal compliance or protection of the Service or other users. Where appropriate, we will try to explain the reason and provide a reasonable opportunity to resolve the issue.

You may stop using FLIP at any time. Any statutory cancellation or refund rights that apply to a consumer are not excluded by these terms.

15. Changes to the Service

FLIP is an evolving service. We may update features, data providers, search allowances, calculation methods and interfaces. If we make a material change that significantly disadvantages an existing paid user, we will take reasonable steps to provide notice where required and will respect rights that cannot lawfully be excluded.

16. Liability

Nothing in these terms excludes or limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or rights and remedies that cannot lawfully be excluded.

Subject to the paragraph above, FLIP is not responsible for losses that arise solely because you chose to purchase, hold, list or sell an item in reliance on an estimate, score, comparable, forecast, market observation or other decision-support output. In particular, FLIP does not guarantee resale value, demand, authenticity, saleability, profit, ROI, time-to-sell or the accuracy or continued availability of third-party market data.

If you use FLIP wholly or mainly for business purposes, then, to the fullest extent permitted by law, we will not be liable for loss of profit, loss of revenue, loss of business, loss of anticipated savings, loss of opportunity, loss of goodwill, business interruption, or indirect or consequential loss arising from use of the Service. For business users, our aggregate liability arising out of or relating to the Service in any 12-month period will not exceed the greater of £100 and the fees you paid directly to us for the Service during that 12-month period, except where liability cannot lawfully be limited.

If you are a consumer, we are responsible for losses that are a foreseeable result of our breach of these terms or our failure to use reasonable care and skill, but we are not responsible for business losses arising from use of a consumer account for commercial purposes to the extent the law permits. Your statutory rights are not affected.

17. Taxes, legal and professional advice

FLIP does not provide tax, accounting, legal, investment or financial advice. You are responsible for determining and complying with any tax, consumer, product-safety, marketplace, licensing, reporting or other legal obligations that apply to your buying and selling activity. Seek qualified professional advice where necessary.

18. Privacy

Our handling of personal data is described in our Privacy Notice. By using the Service you acknowledge that the Service necessarily processes account and usage information in order to operate.

19. Events outside reasonable control

We are not responsible for delay or failure caused by events outside our reasonable control, including widespread internet or hosting failures, third-party API outages, marketplace changes, cyber incidents not caused by our failure to use reasonable care, power failures, governmental action or other comparable events.

20. Governing law

These terms are governed by the laws of England and Wales. If you are a consumer resident elsewhere in the United Kingdom, you retain any mandatory protections and rights to bring proceedings available to you under applicable law. Business users agree that the courts of England and Wales have exclusive jurisdiction, except where the law requires otherwise.

21. General

If a provision of these terms is found unenforceable, the remaining provisions continue to apply. A delay in enforcing a right does not waive that right. You may not transfer your rights under these terms without our consent, except where applicable law gives you that right. We may transfer our rights and obligations as part of a genuine business transfer provided this does not reduce consumer protections that apply to you.

22. Contact

Questions about these terms can be sent to flip@xflip.co.uk.
